Terms of Service
Effective date: 5 May 2026
These Terms of Service (the “Terms”) form a binding agreement between Acuai Labs Pvt Ltd, having its registered office at 1-A Champa Vihar, M.G. Road, Kandivli West, Mumbai, Maharashtra, India (“Compra,” “we,” “us,” or “our”), and the business or other legal entity that installs, accesses or uses Compra (“Merchant,” “you,” or “your”).
By installing Compra, approving a subscription, clicking an acceptance button or using the Service, you agree to these Terms. If you act for a business, you confirm that you have authority to bind that business. If you do not agree or lack that authority, do not use the Service.
1The Service
Compra is a software service that enables Shopify merchants to create surveys, connect responses with authorised Shopify data, target surveys to relevant customer groups, and view reports, insights and analytics (the “Service”).
We may provide the Service through our website, an embedded Shopify application, survey widgets, APIs, integrations and related tools. Features may vary by plan, location, Shopify eligibility or technical compatibility.
The Service is intended for business use. It is not offered for personal, household or consumer use by the Merchant.
2Accounts and Shopify access
You must provide accurate account information and keep it current. You are responsible for:
- Maintaining the security of your account and login credentials.
- Controlling access by your employees, contractors and other authorised users.
- All activity performed through your account.
- Promptly notifying us at info@getcompra.com if you suspect unauthorised access.
Compra requests only the Shopify permissions needed for the features you choose to use. You review and authorise those permissions through Shopify. You may need to approve additional permissions before using a new feature.
You must maintain an active Shopify account and comply with Shopify’s applicable terms and policies. Shopify is not a party to these Terms and is not responsible for Compra. Changes to Shopify’s platform, APIs, permissions or policies may affect the availability or operation of the Service.
3Licence to use Compra
While these Terms remain in effect, we grant you a limited, non-exclusive, non-transferable and non-sublicensable right to use the Service for your internal business purposes and in accordance with your selected plan.
This right does not permit you to:
- Resell, rent, sublicense or provide the Service as a standalone service to another party.
- Copy, modify, reverse engineer, decompile or attempt to discover the source code of the Service, except where applicable law does not allow that restriction.
- Bypass access controls, usage limits, security protections or billing mechanisms.
- Use automated tools to scrape, overload or disrupt the Service.
- Use the Service to develop or train a substantially competing product using non-public aspects of Compra.
- Introduce malware or other harmful code.
- Access the Service or its data without authorisation.
- Use the Service for unlawful, deceptive, fraudulent or abusive activity.
No rights are granted except those expressly stated in these Terms.
4Merchant responsibilities
You decide how to use Compra’s surveys, segments, reports and insights. You are responsible for your survey questions, configurations, branding, campaigns, instructions, integrations and other materials submitted to the Service (“Merchant Content”).
You represent and warrant that:
- You have all rights and permissions needed to provide Merchant Content and authorise the processing of Shopify data through Compra.
- Your use of the Service and resulting insights complies with applicable laws and your published policies.
- You will provide notices and obtain consents, including parental consent where required, for your use of customer data and surveys.
- Merchant Content will not infringe another person’s intellectual-property, privacy or other rights.
- You will not use Compra to collect information that you are prohibited from collecting.
You must not use the Service to distribute malware; facilitate unlawful discrimination, harassment or fraud; impersonate another person; collect payment-card credentials or account passwords through surveys; or publish content that is illegal, threatening or materially harmful.
We do not routinely review Merchant Content. We may remove or restrict content, features or activity when reasonably necessary to address a legal requirement, security risk, third-party complaint or violation of these Terms.
5Merchant data and content
As between you and Compra, you retain your rights in Merchant Content and the Shopify customer, order and survey data authorised for use with your account (“Merchant Data”).
You grant Compra a limited, non-exclusive licence to host, copy, transmit, organise, display and otherwise process Merchant Content and Merchant Data only as necessary to:
- Provide and secure the Service.
- Perform your configurations and integration instructions.
- Provide support and resolve technical problems.
- Comply with applicable law.
Compra determines the Shopify data technically required to operate its features. You review and authorise the requested Shopify permissions. We use authorised Merchant Data only to provide the applicable features.
We do not sell Merchant Data. We do not use Shopify customer, order or survey data to advertise for our own benefit, build independent customer profiles, improve unrelated services or train cross-customer AI models. We may use account information and technical usage information to operate, secure and improve Compra.
If you enable a third-party integration, you instruct us to send the relevant data to that integration. Your use of the integration is governed by your agreement with its provider.
6Privacy and security
Our collection and handling of personal data is described in our Privacy Policy, which forms part of these Terms.
We use reasonable technical and organisational safeguards designed to protect information processed through the Service. No online service is completely secure, and we do not guarantee that unauthorised access or loss will never occur.
For Shopify customer and survey data, you are responsible for the business purposes for which you use Compra and its outputs. Compra processes the authorised data to provide the Service and will assist with applicable Shopify customer-data and deletion requests.
If a separate data-processing agreement is required by applicable law or an agreed commercial arrangement, the parties may enter into one in addition to these Terms.
7Plans, billing and taxes
Compra may offer free features, free trials, recurring subscriptions and usage-based features. Current plans, limits and prices are shown in the Shopify app listing, Shopify’s plan-selection interface, Compra’s pricing page or an agreed order form.
Paid subscriptions are processed through Shopify’s approved billing system. You must approve the applicable charge before billing begins. Unless the plan states otherwise, subscriptions renew automatically for successive billing periods until cancelled.
When you uninstall Compra, Shopify generally cancels the associated app subscription. Access may end immediately upon uninstall, and uninstalling does not automatically create a refund or credit for the unused portion of a billing period.
Except where required by law or expressly stated in the applicable plan, charges are non-refundable. We may issue a full or partial refund or credit at our discretion through Shopify where that functionality is available.
You are responsible for applicable taxes, duties and government charges, except taxes based on Compra’s net income. Shopify may calculate, collect or remit certain taxes as part of its billing process.
We may change plans or prices prospectively. Any change will be communicated through Shopify, the Service or email and will take effect as permitted by Shopify’s billing rules. We will obtain any additional approval required by Shopify. Continued use of a paid plan after a price change takes effect constitutes acceptance of the new price.
8Trials, previews and beta features
Any free trial is subject to the duration and conditions shown when you subscribe. If you have already approved a paid subscription that begins after the trial, charges may begin when the trial ends unless you cancel beforehand.
We may identify certain features as beta, preview or experimental. Those features may be incomplete, changed or discontinued at any time and may be subject to additional conditions. Do not rely on beta features for critical operations.
9Availability, support and changes
We aim to keep Compra available and useful, but we do not promise uninterrupted or error-free operation. Maintenance, security incidents, internet failures, Shopify outages and third-party services may affect availability.
Unless we agree otherwise in writing, no service-level agreement applies. Support is provided through the channels and during the hours described in the Service or on our website.
We may add, modify or discontinue features. If a change materially reduces the core functionality of a paid plan, we will provide reasonable notice where practicable. This does not prevent us from making immediate changes required for security, law or Shopify compliance.
10Intellectual property
Compra and its licensors own the Service, including its software, designs, survey technology, templates, documentation, reports framework, analytics methods, branding and all related intellectual-property rights. Merchant-specific reports and insights may be used by you for your internal business purposes, but the underlying Service and analytics technology remain ours.
If you provide suggestions or feedback, you allow us to use them without restriction or payment. This does not give us ownership of your Merchant Content or Merchant Data.
You may not use Compra’s name, logo or branding without our prior written permission. You grant Compra a non-exclusive, royalty-free right to display your business name and logo to identify you as a Compra customer on our website, customer lists and general marketing materials. You may opt out at any time by emailing info@getcompra.com, after which we will stop new uses within a reasonable period. We will obtain your approval before publishing a case study, testimonial, press release or detailed description of your results.
11Confidentiality
Each party may receive non-public business, technical or commercial information from the other (“Confidential Information”). The receiving party will use Confidential Information only for the relationship contemplated by these Terms and will protect it using reasonable care.
Confidential Information does not include information that the receiving party can show:
- Was already lawfully known without restriction.
- Becomes public without breach of these Terms.
- Is received lawfully from another source without confidentiality obligations.
- Is independently developed without using the other party’s Confidential Information.
A party may disclose Confidential Information to personnel, advisers and service providers who need it and are subject to confidentiality obligations, or where disclosure is required by law. Where legally permitted, the receiving party will give advance notice of a compelled disclosure.
These confidentiality obligations continue for three years after termination, except for trade secrets, which remain protected for as long as they qualify as trade secrets under applicable law.
12Suspension and termination
You may stop using Compra at any time and may cancel by uninstalling the app or using the available Shopify subscription controls.
We may suspend access immediately where reasonably necessary to:
- Prevent harm to the Service, Shopify, a merchant, a customer or another person.
- Address suspected fraud, unauthorised access or a security incident.
- Comply with law or a Shopify requirement.
- Respond to non-payment.
- Address a material breach of these Terms.
Where reasonably possible, we will notify you and provide an opportunity to cure the issue. We may terminate these Terms for an uncured material breach or on 30 days’ notice for business reasons.
If Compra terminates a paid subscription for business reasons unrelated to your breach, non-payment, a security risk, a legal requirement or a Shopify requirement, we will provide a pro-rata refund or credit for prepaid fees attributable to the unused subscription period, to the extent supported by Shopify’s billing system.
When these Terms end, your right to use the Service ends. Outstanding charges remain payable. Merchant Data will be handled in accordance with our Privacy Policy, applicable Shopify deletion requirements and applicable law. Data may remain temporarily in protected backups until those backups are overwritten.
Sections that by their nature should continue after termination—including payment obligations, intellectual property, confidentiality, disclaimers, indemnity, liability limits and dispute terms—will survive.
13Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Service will always be available, secure or error-free, or that every defect will be corrected. We do not guarantee any particular response rate, insight, revenue, conversion, targeting result or business outcome. Survey responses may be incomplete, inaccurate, biased or unrepresentative, and you are responsible for decisions made using them.
Compra is not responsible for Shopify, merchant stores, third-party integrations, telecommunications networks or other services outside our control.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
14Merchant indemnity
You will defend, indemnify and hold harmless Compra and its directors, officers, employees and affiliates from third-party claims, damages, penalties, liabilities and reasonable legal costs arising from:
- Merchant Content or your instructions.
- Your unlawful or unauthorised use of the Service.
- Your breach of Sections 2, 3, 4 or 5.
- Your failure to provide a required notice, obtain a required consent or comply with applicable privacy, marketing or consumer-protection law.
We will promptly notify you of a claim and provide reasonable cooperation. You may control the defence, but you may not settle a claim in a way that admits fault by or imposes an obligation on Compra without our prior written consent.
15Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profits, revenue, goodwill, anticipated savings or business opportunities, arising from or relating to the Service or these Terms.
To the maximum extent permitted by law, Compra’s total aggregate liability arising from or relating to the Service or these Terms will not exceed the fees paid or payable by you for Compra during the three months immediately preceding the event giving rise to the claim.
The limitations in this section apply regardless of the form of action and even if a party was advised that loss was possible. They do not limit liability that cannot lawfully be limited, or liability arising from fraud or wilful misconduct.
16Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Before starting formal proceedings, a party must give the other written notice describing the dispute and allow 30 days for good-faith resolution discussions.
Any dispute not resolved through those discussions will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration will be conducted by one arbitrator jointly appointed by the parties. If the parties cannot agree on an arbitrator, the appointment will be made in accordance with that Act. The seat and venue of arbitration will be Mumbai, Maharashtra, and the proceedings will be conducted in English.
Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction. Subject to the arbitration provision, courts in Mumbai, Maharashtra will have exclusive jurisdiction.
17Changes to these Terms
We may update these Terms to reflect changes to the Service, law, security requirements or Shopify’s platform. We will post the updated Terms and revise the effective date.
For a material change, we will provide reasonable advance notice through the Service, Shopify or email where practicable. The updated Terms will apply from the stated effective date. If you do not agree, you must stop using Compra and cancel before the updated Terms take effect. Continued use after that date constitutes acceptance.
18General terms
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or as part of a merger, reorganisation, financing or sale of all or substantially all of the relevant business or assets.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations already due.
Independent parties. The parties are independent contractors. These Terms do not create a partnership, agency, franchise, employment or fiduciary relationship.
Notices. We may send operational and legal notices to the email address associated with your account or through the Service. Notices to Compra must be sent to info@getcompra.com.
Severability. If a provision is held unenforceable, it will be adjusted only to the minimum extent necessary, and the remaining provisions will continue in effect.
Waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
Entire agreement. These Terms, the Privacy Policy, the applicable plan details and any mutually signed order form or data-processing agreement constitute the entire agreement regarding the Service. If a signed order form conflicts with these Terms, the order form controls for that transaction.
